1. Purpose
This Intellectual Property Policy (“Policy”) explains the ownership, protection and permitted use of intellectual property associated with the Mine & Haul website, software platform, technology, operational workflows, reporting systems, services and brand.
Trucking Easy Solutions Pty Ltd T/as Mine & Haul has invested significant time, expertise, resources and capital in developing a specialised digital operations management platform for the haulage, mining, resources, civil and related industries.
Mine & Haul’s intellectual property includes not only its branding and software, but also proprietary methods used to streamline operational workflows, capture information from operators, automate repetitive data entry, organise operational information and produce management reporting.
The purpose of this Policy is to:
- protect the intellectual property and proprietary interests of Mine & Haul;
- explain the intellectual property rights applying to the Platform;
- establish rules concerning use of Mine & Haul software, technology and branding;
- protect proprietary operational workflows and automation;
- protect reporting systems, forms and data structures;
- establish rights relating to Customer-supplied content and data;
- prevent unauthorised copying, reverse engineering, extraction or commercial exploitation; and
- provide a process for reporting alleged intellectual property infringement.
2. Application of this Policy
This Policy applies to all persons accessing or using:
- the Mine & Haul website;
- the Mine & Haul Platform;
- Mine & Haul mobile applications;
- operator interfaces;
- management interfaces;
- dashboards;
- software;
- databases;
- reporting systems;
- workflows;
- APIs;
- integrations;
- documentation;
- forms;
- communications; and
- other services or technology operated under the Mine & Haul brand.
This includes Customers, employees of Customers, contractors, operators, drivers, supervisors, administrators, managers, service providers and website visitors.
3. Ownership of Mine & Haul intellectual property
Unless otherwise expressly stated, all intellectual property rights relating to Mine & Haul and the Platform are owned by, licensed to or otherwise lawfully used by Trucking Easy Solutions Pty Ltd T/as Mine & Haul.
Nothing in a subscription, account registration, implementation arrangement or licence transfers ownership of Mine & Haul intellectual property to a Customer or Authorised User.
4. Software and Platform intellectual property
Mine & Haul intellectual property may include rights in:
- source code;
- object code;
- software;
- software architecture;
- Platform architecture;
- application architecture;
- algorithms;
- APIs;
- databases;
- database structures;
- schemas;
- data models;
- data relationships;
- system logic;
- application logic;
- integrations;
- user interfaces;
- user experience designs;
- dashboards;
- administrative interfaces;
- operator interfaces;
- authentication systems;
- permissions structures;
- software features;
- technical specifications;
- documentation; and
- Platform enhancements.
5. Operational workflow intellectual property
Mine & Haul may contain proprietary methods for converting real-world haulage and mining work procedures into digital workflows. Mine & Haul intellectual property may therefore include:
- workflow architecture;
- workflow sequences;
- operator interaction flows;
- digital work procedures;
- electronic forms;
- field arrangements;
- conditional fields;
- workflow triggers;
- approval processes;
- validation rules;
- data-routing logic;
- automated hand-offs;
- task sequences;
- operational templates;
- data capture methods;
- administrative automation; and
- other methods embodied within the Platform.
The fact that a workflow reflects an industry activity does not grant a user ownership of Mine & Haul’s particular software implementation, configuration, design, automation or expression of that workflow.
6. Automation and data processing intellectual property
Mine & Haul may contain proprietary systems designed to reduce repetitive administrative work.
These may include:
- automated data entry;
- automatic field population;
- calculations;
- data transformation;
- information categorisation;
- record consolidation;
- data validation;
- automated reporting;
- business rules;
- exception handling;
- workflow automation;
- data transfer between Platform modules;
- data-processing logic;
- notification logic; and
- other automated processes.
These systems and their underlying implementation remain the intellectual property of Mine & Haul or its licensors.
7. Reporting and analytics intellectual property
A Customer owns its underlying Customer Data.
Ownership of Customer Data does not transfer ownership of Mine & Haul’s proprietary systems used to process, organise or present that data.
Mine & Haul intellectual property may include proprietary:
- reporting structures;
- report templates;
- dashboards;
- visualisations;
- calculations;
- formulas;
- data relationships;
- report layouts;
- report-generation logic;
- analytics methodologies;
- performance indicators;
- management summaries;
- operational summaries; and
- methods used to transform operational information into management reporting.
8. Forms and templates
Mine & Haul may provide digital forms, templates and workflow structures.
These may include forms relating to:
- pre-starts;
- vehicle checks;
- equipment checks;
- timesheets;
- shift records;
- jobs;
- loads;
- dockets;
- defects;
- maintenance;
- incidents;
- safety;
- operator records;
- site activities; and
- other operational procedures.
Where a form or template has been developed by Mine & Haul, copyright and other applicable intellectual property rights in its original structure, design, expression and Platform implementation remain with Mine & Haul.
9. Branding
Mine & Haul intellectual property includes:
- the Mine & Haul name;
- logos;
- graphics;
- icons;
- slogans;
- taglines;
- colour schemes;
- visual identity;
- domain names;
- product names;
- trade names;
- business names; and
- registered or unregistered trade marks.
Users must not represent themselves as Mine & Haul or falsely imply endorsement, sponsorship or affiliation.
10. Website and content
Mine & Haul intellectual property may include:
- website content;
- written material;
- graphics;
- photographs;
- illustrations;
- videos;
- animations;
- guides;
- documentation;
- training materials;
- policies;
- procedures;
- technical material;
- downloadable resources; and
- marketing material.
11. Business systems and know-how
Mine & Haul intellectual property may also include confidential or proprietary:
- business methods;
- software design methodologies;
- operational digitisation methodologies;
- workflow development methods;
- automation methodologies;
- reporting methodologies;
- product strategies;
- pricing structures;
- technical documentation;
- specifications;
- data models;
- system designs;
- product roadmaps;
- commercial strategies;
- analytics methods;
- implementation methods; and
- other commercially valuable know-how.
12. Copyright
Copyright may exist in Mine & Haul software, documentation, text, graphics, forms, reports, database structures, website material and other original works.
Except where permitted by law or authorised in writing, users must not:
- copy;
- reproduce;
- modify;
- adapt;
- distribute;
- publish;
- republish;
- communicate;
- commercially exploit; or
- create derivative works from Mine & Haul copyright material.
13. Limited licence
Subject to payment of applicable fees and compliance with Mine & Haul’s Terms & Conditions, Mine & Haul grants the relevant Customer a limited, non-exclusive, non-transferable and revocable licence to use the Platform for its authorised internal business operations.
This licence does not:
- transfer ownership;
- permit sublicensing except for authorised internal users;
- permit resale;
- permit creation of competing software;
- permit copying of proprietary Platform functionality; or
- permit commercial exploitation of Mine & Haul intellectual property independently of the Platform.
14. Customer-specific configuration
Mine & Haul may configure workflows, forms, fields, dashboards or reports for a Customer.
Unless otherwise agreed in writing, Customer-specific configuration does not transfer ownership of:
- the underlying Platform;
- generic workflows;
- software functionality;
- reporting engines;
- automation;
- source code;
- database structures;
- reusable components;
- templates;
- development tools; or
- general improvements to the Customer.
Where a Customer supplies its own pre-existing material, the Customer retains ownership of that material.
15. Customer Data ownership
As between Mine & Haul and the Customer, the Customer retains ownership of its underlying Customer Data, subject to third-party and individual rights.
Customer Data may include:
- operational information;
- employee information;
- operator information;
- vehicle information;
- equipment information;
- job data;
- timesheets;
- load information;
- maintenance information;
- safety information;
- documents;
- photographs; and
- other Customer business records.
Mine & Haul does not acquire ownership of Customer Data merely because it is processed through the Platform.
16. Customer materials
Where a Customer provides:
- forms;
- logos;
- policies;
- documents;
- procedures;
- templates;
- photographs;
- specifications;
- business rules; or
- other material,
the Customer retains ownership of intellectual property it already lawfully owns.
The Customer grants Mine & Haul permission to use that material to the extent reasonably necessary to provide the Platform and agreed services.
17. Customer warranties
The Customer warrants that it has authority to provide material submitted to Mine & Haul.
The Customer must not knowingly provide material that infringes:
- copyright;
- trade marks;
- confidentiality obligations;
- privacy rights; or
- other third-party intellectual property rights.
18. Platform improvements
Mine & Haul may develop improvements arising from operation, development and support of the Platform.
Subject to Customer ownership of Customer Data and pre-existing Customer intellectual property, Mine & Haul retains ownership of general Platform improvements including:
- new software functionality;
- generic workflows;
- automation;
- reusable functionality;
- reporting improvements;
- system enhancements;
- interfaces;
- technical solutions;
- algorithms;
- database improvements; and
- other Platform developments.
19. Developers, contractors and consultants
Mine & Haul may engage employees, developers, contractors, consultants and other service providers in Platform development.
Mine & Haul may require appropriate agreements dealing with:
- intellectual property ownership;
- assignment of intellectual property;
- confidentiality;
- moral rights consents;
- source code;
- documentation; and
- rights to modify and commercially exploit Platform developments.
This is particularly important because, under general Australian IP principles, contractor-created intellectual property may remain with the contractor unless ownership is addressed by contract.
20. Prohibited use
Unless authorised in writing or permitted by law, users must not:
- copy substantial parts of the Platform;
- reproduce proprietary Platform functionality;
- reverse engineer, decompile or disassemble Platform software except where such restriction is prohibited by law;
- attempt to discover proprietary source code;
- replicate Mine & Haul workflows for the purpose of developing competing software using Mine & Haul proprietary material;
- copy Mine & Haul automation logic;
- copy proprietary report structures or software implementations;
- scrape or systematically extract Platform data;
- use automated bots or scripts to harvest Platform information without authority;
- bypass security controls;
- remove copyright or proprietary notices;
- resell or sublicense Platform access without permission;
- use Mine & Haul intellectual property to develop a competing commercial platform; or
- assist another person in doing any of the above.
21. Data scraping and systematic extraction
Automated scraping, crawling, harvesting or systematic extraction of Platform information is prohibited unless expressly authorised.
This prohibition may apply to:
- Platform structures;
- forms;
- database content;
- report structures;
- workflows;
- system metadata;
- interface information;
- operational data;
- equipment information;
- customer information; and
- other structured or unstructured information.
This section does not prevent a Customer from legitimately exporting its own Customer Data using functionality made available by Mine & Haul.
22. Artificial intelligence and machine learning
Unless expressly authorised in writing, users must not systematically copy, extract or reproduce Mine & Haul proprietary material for the purpose of:
- training artificial intelligence models;
- training machine-learning systems;
- developing large language models;
- creating commercial datasets;
- reproducing Platform workflows;
- developing competing automation technology; or
- developing substantially similar commercial software using Mine & Haul proprietary material.
Nothing in this section restricts conduct that cannot lawfully be restricted.
23. Customer use of generated reports
A Customer may use reports and outputs generated from its Customer Data for its own legitimate business purposes.
This may include:
- internal management;
- client reporting;
- payroll support;
- invoicing support;
- operational analysis;
- compliance administration;
- safety administration; and
- business record keeping.
The Customer’s right to use its generated business outputs does not grant ownership of Mine & Haul’s underlying reporting software, code, templates or processing methods.
24. Confidential and proprietary information
Certain Mine & Haul information may constitute confidential information, trade secrets or proprietary know-how.
Access to such information does not grant ownership or unrestricted rights of use.
Users must not unlawfully disclose or commercially exploit confidential Mine & Haul information.
25. Feedback and suggestions
Customers and users may provide feedback regarding the Platform.
Mine & Haul may use general feedback and suggestions voluntarily supplied to improve its products and services without an obligation to compensate the provider.
This does not transfer ownership of pre-existing Customer intellectual property.
26. Third-party intellectual property
The Platform may incorporate or interact with intellectual property belonging to third parties.
This may include:
- software libraries;
- APIs;
- mapping systems;
- cloud technology;
- equipment brands;
- logos;
- integrations; and
- third-party services.
Ownership remains with the relevant third-party owner.
27. Trade marks and brand use
Users must not use Mine & Haul branding in a way that:
- falsely suggests endorsement;
- falsely suggests partnership;
- creates confusion about ownership;
- is misleading or deceptive;
- damages the Mine & Haul brand; or
- promotes a competing product in a manner that infringes Mine & Haul’s rights.
Written permission should be obtained where commercial use is proposed.
28. Reporting intellectual property infringement
Mine & Haul respects third-party intellectual property rights.
A person who believes material appearing through Mine & Haul infringes their rights should provide:
A notification should preferably include:
- their name and contact information;
- details of the relevant intellectual property;
- evidence of ownership or authority;
- identification of the allegedly infringing material;
- an explanation of the alleged infringement; and
- supporting documentation where available.

29. Response to infringement
Where Mine & Haul reasonably believes material may infringe intellectual property rights, it may:
Mine & Haul may:
- investigate;
- request additional information;
- restrict access;
- remove relevant material;
- suspend affected functionality;
- request evidence of authority;
- suspend an account; or
- take other reasonable action.
30. Enforcement
Mine & Haul reserves its rights in relation to actual or suspected infringement of its intellectual property.
Subject to applicable law, remedies may include:
- removal of infringing material;
- cessation undertakings;
- account suspension;
- account termination;
- injunctive relief;
- damages;
- account of profits;
- recovery of legal costs; and
- other remedies available at law.
31. No transfer of ownership
Payment of subscription fees, implementation fees, configuration fees, training fees, integration fees, support fees or other charges does not transfer ownership of Mine & Haul intellectual property unless expressly agreed in writing.
32. Termination
When a Customer’s right to access the Platform terminates, its licence to use Mine & Haul software also terminates, except to the extent otherwise agreed.
Provisions relating to:
- ownership;
- confidentiality;
- prohibited use;
- intellectual property;
- enforcement; and
- accrued rights
continue as appropriate following termination.
33. Changes to this Policy
Mine & Haul may amend this Policy to reflect changes in:
Mine & Haul may amend this Policy to reflect changes in:
- the Platform;
- technology;
- intellectual property practices;
- business operations; or
- applicable law.
The current version will be published on the Mine & Haul website.
34. Governing law
This Policy is governed by the laws of Queensland, Australia and applicable laws of the Commonwealth of Australia.
Subject to rights that cannot lawfully be excluded, the parties submit to the jurisdiction of Queensland courts and courts hearing appeals from those courts.
